Terms of use and sale

These terms (the “Terms”) are the license agreement (EULA) and the terms of sale for Minh AI, the add-in for Microsoft Excel published by GEOVIL SYSTEMS (“GEOVIL”, “we”), SAS, 40 rue des Blancs Manteaux, 75004 Paris, France, SIREN 835 276 031, VAT FR42 835 276 031, contact@geovil.io. They apply to you (“you”, the “Customer”) whether you get Minh AI from Microsoft AppSource, from Excel or from our website. By installing Minh AI, creating an account or subscribing, you accept these Terms. If you accept them for a company, you confirm you may bind it.
1. Microsoft is not a party
These Terms are between you and GEOVIL only. Microsoft is not a party to them and is not responsible for Minh AI or for our obligations. Your use of Microsoft Excel, Microsoft 365 and AppSource is governed by your agreements with Microsoft. Subscriptions to Minh AI are sold and billed by GEOVIL (through Stripe), not by Microsoft.
2. The service
Minh AI shows the data of your Excel sheets on a map and helps you analyze it: geocoding of addresses, map views, questions to your map, comment analysis, insights, patterns, area risk scores and published maps. It runs in Excel for Microsoft 365 on Windows and Mac, Excel 2021 or later and Excel on the web. Excel 2016, Excel 2019 and Excel on iPad or iPhone are not supported. The features are described on our website (the “Documentation”).
Minh AI is an aid to analysis. Results from geocoding and AI may contain errors; you remain responsible for checking them and for the decisions you make.
3. License
Minh AI is licensed, not sold. While your account is active and, for paid features, your subscription is paid, GEOVIL grants you a nonexclusive, non-transferable, limited license to use Minh AI for your own internal business or personal purposes, within the limits of your plan. An account is for one person; ask us for a team version if several people need access.
You may not, and may not allow anyone to:
- copy, modify, reverse engineer, decompile or disassemble Minh AI, except where the law expressly allows it despite this restriction;
- sell, rent, sublicense, share your account or provide Minh AI as a hosted service to third parties;
- bypass usage limits, security or technical restrictions, or use automated means to overload the service;
- use Minh AI to build a competing product, or for any unlawful, fraudulent or harmful purpose.
All rights not expressly granted are reserved by GEOVIL. Minh AI, its code, design and the Minh AI and GEOVIL names remain the property of GEOVIL SYSTEMS or its licensors.
4. Your data and data protection
Your data stays yours. Your workbooks stay in Excel. Minh AI only sends what a feature needs (addresses to the geocoder, comments to the AI, the points you choose to publish), and only when you use that feature. We use this data only to provide the service to you, never to sell it or to train AI models.
For personal data contained in the data you send through Minh AI, you act as controller and GEOVIL acts as processor on your behalf, under the EU General Data Protection Regulation (GDPR) where it applies. GEOVIL will: process it only on your instructions as given by your use of the features; keep it confidential; apply appropriate security measures (encryption in transit, restricted access, keys encrypted on your device); use only the subprocessors listed in our privacy policy, and announce any new one there at least 14 days in advance so you can object or cancel; help you answer data subject requests; notify you without undue delay of a personal data breach affecting your data; and delete it when you delete it or close your account. Business customers can ask for a data processing agreement at contact@geovil.io.
The data about you as a customer (account, billing, usage) is handled as described in our privacy policy.
When you add your own keys (AI or map providers), data goes directly from Excel to that provider under your agreement with it; GEOVIL does not receive it.
5. Plans and prices

Prices are shown in US dollars; depending on your country you may pay in USD, GBP or EUR. Taxes such as VAT are added where they apply and are shown at checkout before you pay. Businesses in the EU can enter their VAT number at checkout. The price you pay is the one shown at checkout.
Allowances renew each month, including on yearly plans. Unused allowances do not carry over. Addresses already located are free. Once an allowance is used up, the related feature pauses until the next month or until you change plan.
6. Ordering and payment
You subscribe on our website. Payment is made by card or another method offered by Stripe, our payment provider; we never see your card details. Subscriptions are billed in advance, monthly or yearly, and an invoice is issued for each payment, available on your account page and in Minh AI (avatar › Manage subscription).
If a payment fails, Stripe will retry it. Without payment, access to paid features may be suspended until the situation is resolved.
7. Renewal, cancellation and termination
Your subscription renews automatically at the end of each period, for the same length, until you cancel. You can cancel at any time in Excel (Minh AI › avatar › Manage subscription) or on your account page. Cancellation takes effect at the end of the current paid period; your plan remains active until then. Periods already started are not refunded, except where these Terms or the law provide otherwise. You can also stop using Minh AI and remove the add-in at any time.
Either party may end these Terms if the other materially breaches them and does not fix the breach within 30 days of written notice. We may suspend an account immediately in case of serious misuse that threatens the service, other users or the law. If we end the service for our convenience, we will give you at least 60 days' notice and refund the unused part of any prepaid period.
When these Terms end, your license ends. You can still delete your account and published maps; we delete your data as described in our privacy policy, except what we must keep by law (such as invoices).
8. Consumers: right of withdrawal
If you are a consumer in the European Union, you normally have 14 days from subscription to withdraw. Because Minh AI is digital content supplied right away, when you subscribe you ask us to start the service immediately and acknowledge that you lose your right of withdrawal once it has begun. If you have not used the service, write to us within 14 days and we will refund you.
9. Changes to prices, the service and these Terms
We may change our prices. We will tell you by email at least 30 days before a new price applies to your subscription; it applies from the next renewal, and you can cancel before then.
We may improve or change features. If a change significantly reduces what your plan offers, you can cancel and receive a refund for the unused part of the current period.
We will not change these Terms, including the data protection terms, during a paid period to your detriment. Updated Terms apply from your next renewal; we notify significant changes by email at least 30 days in advance.
10. Our commitments
GEOVIL commits that it has the right to grant this license; that Minh AI works substantially as described in the Documentation; that we do not knowingly include malicious code; and that we comply with the data protection and anti-corruption laws that apply to us. If Minh AI does not work as described, tell us: we will fix it or, if we cannot, you may cancel and receive a refund for the unused part of the current period.
Except for these commitments and the guarantees that the law does not allow to exclude (including statutory consumer guarantees), Minh AI is provided “as is”. We do not guarantee uninterrupted or error-free service: maintenance, updates or outages of third parties (Microsoft, geocoders, map and AI providers) may cause interruptions.
11. Third-party services
Some features rely on third parties (Microsoft Excel, geocoders, map providers, AI providers). When you add your own keys, those services are governed by your agreement with each provider and billed by them. We are not responsible for their availability or changes.
12. Intellectual property claims
If a third party claims that Minh AI, used in line with these Terms, infringes its intellectual property rights, GEOVIL will defend you and pay the amounts finally awarded or agreed in settlement, provided you tell us promptly and let us control the defense. We may instead modify Minh AI, obtain the right for you to keep using it, or end the subscription and refund the unused part. You will defend GEOVIL in the same way against claims arising from the data you put in Minh AI or from your use of it in breach of these Terms or the law.
13. Liability
To the extent permitted by law: neither party is liable for indirect or consequential losses (such as lost profit, revenue, business or data), and each party's total liability for all claims is limited to the amounts you paid for Minh AI in the 12 months before the event giving rise to the claim (or US$100 if you used Minh AI without paying). These limits do not apply to liability that cannot be limited by law, to fraud, gross negligence or willful misconduct, to breaches of the data protection terms in section 4 caused by gross negligence, or to the defense obligations of section 12. Nothing in these Terms limits the statutory rights of consumers.
14. Governing law and disputes
Please contact us first at contact@geovil.io: most issues are solved quickly.
- Business customers: these Terms are governed by French law, and any dispute falls under the exclusive jurisdiction of the courts of Paris, France.
- Consumers: these Terms are governed by French law, but you keep the protection of the mandatory rules of the country where you live, and you may bring a claim before the courts provided by law. Consumers in the EU may also use a consumer mediation service free of charge.
15. General
These Terms, together with our privacy policy, are the entire agreement between you and GEOVIL about Minh AI and replace any prior communication on the subject. If a clause is invalid, the rest remains in force. Not enforcing a clause is not a waiver. You may not transfer these Terms without our consent; we may transfer them to a company that takes over Minh AI, and we will inform you. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to contact@geovil.io; notices to you go to the email of your account.
